Legal Structure & CPOM Compliance

Built for compliance
from the ground up.

The MyTelePep partner program is structured specifically to comply with Florida's Corporate Practice of Medicine doctrine and federal Anti-Kickback Statute safe harbors.

What is CPOM and Why Does It Matter to You?

Florida's Corporate Practice of Medicine doctrine prohibits non-physician entities โ€” including chiropractic practices โ€” from owning or controlling a medical practice or sharing in the profits of medical services. This means a chiropractic LLC cannot employ a PA or NP to prescribe medications and then take a cut of that prescription revenue.

The MyTelePep partner program is not a referral arrangement and not a fee-splitting arrangement. It is a legitimate Management Services Organization (MSO) model in which your practice pays TeleEMC for defined, non-clinical management and administrative services. The margin you earn is a business margin on wellness program services you deliver โ€” not a share of medical revenue. Clinical decisions remain entirely with TeleEMC's licensed providers.

This structure has been used in Florida healthcare for decades and is the model underlying most integrated medical practice arrangements in the state.

Important: MyTelePep provides this structure documentation for informational purposes. All partner practices are strongly encouraged to have their own Florida healthcare attorney review the Management Services Agreement before execution. CPOM analysis is fact-specific and the legal landscape can evolve. This documentation does not constitute legal advice. The full Management Services Agreement template is available for your counsel's review.

Frequently Asked Questions

Partner questions answered.

No. TeleEMC holds the AHCA health care clinic license that authorizes the clinical services. Your practice does not provide clinical services โ€” it provides wellness program management services. You do not need an AHCA license for that activity. However, you should verify this with your own Florida healthcare attorney based on your specific practice structure.
Yes. Your program price is entirely your business decision. MyTelePep sets the infrastructure fee you pay us. What you charge your patients is yours to determine based on your market, your brand positioning, and your patient demographics. There is no minimum or maximum retail price requirement.
Your patients enroll in your branded wellness program. The telehealth consultation is conducted by a licensed provider who identifies themselves as practicing through a licensed Florida telehealth clinic. Patients are informed they are receiving care from a licensed healthcare provider โ€” which is true. The underlying TeleEMC infrastructure is not patient-facing. The medication ships in your branded packaging. Your brand is the patient-facing experience throughout.
All clinical matters route to TeleEMC's licensed providers. Your staff handles general program and billing questions. Any clinical question โ€” side effects, dosing concerns, medication questions โ€” is triaged to TeleEMC's clinical team immediately. TeleEMC maintains a clinical escalation protocol and after-hours provider availability for all enrolled patients.
No. The infrastructure fee is compensation for defined management and administrative services delivered by TeleEMC to your program โ€” clinical provider services, pharmacy coordination, platform technology, compliance infrastructure, and ongoing support. It is a service fee, not a referral payment. It is fixed per enrolled patient and not tied to the volume or value of any specific prescription. This distinction is critical to the CPOM compliance of the arrangement and is documented in the Management Services Agreement.
If your NP holds an active Florida APRN license and meets TeleEMC's credentialing requirements, they may be contracted as an independent provider in the TeleEMC network. They would prescribe as a TeleEMC-contracted provider โ€” not as an employee of your chiropractic entity for purposes of this program. Their clinical compensation would come from TeleEMC at fair market rate. Your practice does not share in the NP's clinical compensation. This arrangement must be clearly documented to maintain CPOM compliance.
Available compounds depend on current FDA compounding regulations and your partner tier. Currently available through licensed 503A pharmacies: Semaglutide, Tirzepatide, NAD+, GHK-Cu, Glutathione, Vitamin D3, Tadalafil (troches), and Sildenafil (troches). BPC-157, CJC-1295/Ipamorelin, Sermorelin, and PT-141 are pending FDA reclassification review (July 2026 PCAC meeting) and will be added to the formulary if and when legally available for compounding. All compounds are prescribed only when clinically appropriate based on TeleEMC's provider assessment.
Most partners are fully operational within 30โ€“60 days of executing the Management Services Agreement. This includes white-label portal setup, staff training, private-label packaging configuration, and provider onboarding. The fastest component is typically legal review of the MSO Agreement by your counsel โ€” we recommend budgeting 2โ€“3 weeks for that review before execution.
